  • In case of conflict between these Terms and a signed agreement, the signed agreement will prevail.

5. Payments & Billing

  • Payments are due as per the agreed terms in the proposal or contract.
  • Unless otherwise specified, all invoices are payable within 30 days from the date of the invoice.
  • Late payments may attract interest or service suspension until cleared.
  • All amounts are exclusive of applicable taxes (GST or other statutory levies) unless otherwise mentioned.

6. Intellectual Property Rights

  1. Our IP: All content on the Website — including designs, software, text, graphics, code, logos, trademarksand other intellectual property — is owned or licensed by Indsys and is protected under Indian intellectual property laws.
  2. Client IP: Any data, content, or material shared by the Client remains their property. Indsys will only use such material for the purpose of fulfilling the project or providing services.
  3. Deliverables: Rights to project deliverables (e.g., software, website, creative material) will be transferred to the Client as per the agreement, upon full and final payment.
  4. Restrictions: You may not use Indsys IP without prior written consent.

7. Warranties & Disclaimers

  • Indsys makes no warranties or representations, express or implied, regarding the accuracy, reliability, or completeness of any information or service.

8. Limitation of Liability

  • To the fullest extent permitted under Indian law, Indsys shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Website or Services.
  • Our total aggregate liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the Client to Indsys under the specific engagement giving rise to the claim.

You agree to indemnify and hold harmless Indsys, its directors, employeesand affiliates from and against all claims, damages, losses, liabilitiesand expenses (including legal costs) arising from:

  • Your use of the Website or Services
  • Violation of these Terms
  • Violation of any third-party rights
  • Content submitted by you

10. Confidentiality

  • Both parties agree to keep all project-related information, proposals, source codes, strategiesand business details confidential and not disclose them to any third party without prior consent.
  • This obligation shall survive the termination of the contract or engagement.

11. Termination

  • Indsys reserves the right to suspend or terminate access to the Website or Services at any time for any breach of these Terms.
  • Either party may terminate a service engagement according to the terms of the specific agreement.
  • Upon termination, all due payments shall become immediately payable.

12. Governing Law & Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019.
